Introduction
- This User Agreement sets forth the terms and conditions governing the access and use of 'National Highway Authority (NHA) e-Bidding System' (hereinafter called the "System") by companies, organizations, individuals (hereinafter called "Vendor") competing for the procurement of Works, Services and Goods by conducting their bidding activities on the System.
- The "System" is owned by National Highway Authority. This User Agreement applies to the Vendors and their Users to access and use the System. By accessing the System through assigned user ID and password the Vendor agrees to be bound by the terms of this User Agreement

Definitions
- "NHA" means National Highway Authority
- "Vendor" means company, organization or individual that has indicated its acceptance to be bound by this User Agreement and has intention to participate or has participated in bidding process through the System. The term "Vendor" represents Contractor, Consultant, Operator, Supplier or Individual (Specialist, Advisor, Expert, etc)
- "System" means the NHA e-Bidding system placed at www.ebidding.nha.gov.pk, provided for Vendors to participate in Procurement Exercise.

"Procurement Exercise"
may include:

the activities in the bidding process by adopting one of the following method of procurement:

Open Competitive Bidding (initiated through 'Invitation for Bid' or 'Request for Proposal') through one of the following procedures:
- Single Stage One Envelop

Single Stage Two Envelop
- Two Stage Bidding
- Two Stage Two Envelop
-
Alternate Method of Procurement
- Petty Purchases
- Request for Quotation (RFQ)
- Direct Contracting
- Negotiated Tendering
- the activities in process of Prequalification (by advertising the Prequalification Notice or Expression of Interest)
- "Vendor User" means an authorized individual representing the Vendor whose request for creation of User Account is approved and he has been provided access to the System by NHA.
- "Confidential" means that the information, either in its entirety or in the precise configuration or assembly of its components, is not publicly available.
- "Confidential Information" means secret, confidential, commercial, financial, marketing, technical or other information, knowhow, trade secrets and other information in any form or medium whether disclosed orally or in writing before or after the date of this user agreement, together with any reproductions of such information in any form or medium or any parties of this information.
- "Force Majeure" means any cause affecting the performance by either the NHA of its obligations arising from acts, events, omissions, happenings or non-happenings beyond its reasonable control including (but without limiting the generality thereof) governmental regulations, fire, flood,Pandemic or any disaster or an industrial dispute affecting a third party for which a substitute third party is not reasonably available. Any act, event, omission, happening or non-happening will only be considered Force Majeure if it is not attributable to the willful act, neglect or failure to take reasonable precautions of the affected party, its agents or employees or the failure of either the NHA or NHA to perform its obligations under this User Agreement.
- "Helpdesk" means the facility provided by NHA to handle and manage support queries and issues raised by Vendor Users.
- "Intellectual Property" means any patent, copyright, database right, moral right, design right (whether registered or unregistered), trade mark, service mark, domain name, know-how, utility model, unregistered design or, where relevant, any application for any such right, or other industrial or intellectual property right,exclusively held by the party.
- "Applicable Time" means Pakistan Standard Time (PST) displayed on the System which shall be the reference time for all time-bound activities of procurement processes.
- "Working Days" means 0930 hrs - 1600 hrs PST Monday to Friday; excluding notified Holidays. NHA will issue notification in case of any change to above said schedule.

The Vendor shall only use the System in accordance with this User Agreement and any further rules expressed and presented in the System. In the event of any conflict between the User Agreement and any such further rules, then the provisions of such further rules shall take precedence over this User Agreement

Access
- Vendor must have a valid Online User Account with System in order to take part in Procurement Exercise conducted by NHA. NHA may grant access to Vendors upon receipt of Account Creation Application subject to verification of respective documents.

NHA may immediately and without notice deny System's access to the Vendor and/or one or more Vendor Users, if any of the following events occur:
- The Vendor commits a material breach of any of its obligations under the User Agreement; and
- The Vendor fails to remedy, or persists in, any breach of any of its obligations under this User Agreement after having been notified in writing to remedy or desist such breach within a period of ten (10) Working Days.
- Without prejudice to any of the NHA's rights, NHA reserves the right to suspend Vendors access to the System without notice for technical or legal reasons.
- To access the System securely, Users should use appropriate web browsers and their associated security settings. However because of the rapid development of new browsers and new security measures come up frequently, Users need to update or install new components and configuration settings as and when these come into effect without any obligation upon NHA,for non-adherence. Current version of System can be best viewed at latest versions of Microsoft Edge, Google Chrome, Mozilla Firefox or Safari (for macOS),or as developed from time to time.
- Till issuance of amendment under Clause-15 no fee will be charged to Vendor and Vendor User for creation of User Account and using the System.

Online User Account Creation
- To be granted access to the System, the Vendor must create an Online User Account by providing the required data and specifying a user ID and password.
- In order to participate in Procurement Exercise, the Vendor must hold a valid User Account in the e-Bidding System.
- User ID and password are strictly personal to the Vendor User and non-transferable. The Vendor shall ensure that its Vendor Users do not divulge or disclose their User ID or password to third parties. In the event that the Vendor or a Vendor User becomes aware that a User ID or password may have been divulged, disclosed or discovered by any third party, the Vendor or Vendor User shall immediately notify the Helpdesk of NHA.
- The Vendor shall designate an individual Vendor User to manage access to the System.
- The Vendor must immediately inform the NHA Helpdesk in the event that a Vendor User leaves its employment or no longer requires access to the System. NHA retains the right to deactivate a Vendor User ID and password if there has been no access for a period of 06x months (180) days.
- Vendor's email will be used as the user name for accessing the System. Upon submission of Vendor User's basic identity information opened by clicking on the "Create User Account " button from the home page of System, User will receive in the email provided by him, an email from no-reply.ebidding@nha.gov.pk with a request for confirmation.By pressing the "Confirm Account" button,User will be asked to verify their mobile number.If the User correctly enters the information, this process will complete the email & mobile verification process successfully.
- Vendor User will be required to login with his User ID & Password. After login, a form will appear on the screen for providing data related to Vendor and uploading digitally scanned mandatory credential documents (registration Certificate, Tax and PEC, Memorandum of Article, National ID, etc.All documents must be easily readable). Vendor User should read the terms and conditions of USER Agreement and press the "submit" button accordingly. Vendor will then print the document through download PDF option and submit the documents with original Authority Letter.
- Vendor may visit NHA "Help Desk" in NHA HQ, Islamabad with the credential documents used during online User Account Creation process or send the documents via registered post or courier service for the post-verification for authenticity. The verification process may take one day to two weeks.
- After satisfactory review of the documents and approval by NHA, Vendor gets the Confirmation email notification of User Account approval and will instantly get full access to secured personal dashboard for user specific functions of the System as the System User.
- NHA officials, Development partners, Payment network partners (Banks and others), and media will have their Online User account created through official communication with NHA.
- Users may choose to select automatic alert services through the configuration in preference section of their dashboard. Each auto alert will be sent to users via preferred channel (i.e. e-Mail or SMS), and by default same will be seen in the users’ inbox available in their System Dashboard. If the user does not receive auto alerts because of some third party component or system failure or for any other reason, the Users must check their inbox for such alerts/notifications and communications.
- Vendor User is responsible for maintaining the confidentiality of his password and is fully responsible for all activities that occur using his account (e-Mail ID and password). System does not store user passwords, but it will store only the generated irreversible hash value of the password as e-Signature. Vendor User must notify e-Bidding Cell, NHA (admin.ebidding@nha.gov.pk) of any unauthorized use of his password or any other suspected security breaches. Vendor User must ensure that he appropriately logout every time from his unattended computers or from the computers he is using in public places. NHA is not liable for any loss or damage arising from such compromise of his User ID and Password.

Invitation to Participate
- The NHA may send, through the System, an invitation to participate in a specific Procurement Exercise to appropriate Vendors through their Users with valid Online User Account. Data and information relating to a specific Procurement Exercise shall be made available to invited Vendors.
- The NHA shall configure the System as appropriate for each Procurement Exercise. The selected configuration settings for a Procurement Exercise shall be displayed on the System for invited Vendors to view. The Vendor acknowledges that any one Vendor User participating in a Procurement Exercise on the System shall bind the Vendor to these configuration settings.
- All material issued through the System in connection with a Procurement Exercise shall remain the property of the NHA and shall be used only for the purpose of procurement.

Vendor's Obligations
- The Vendor shall ensure that its Vendor User comply with the User Agreement.
- The Vendor shall use all reasonable care and skill in performing its obligations under this User Agreement.
- The Vendor shall provide its Vendor Users with the equipment and software needed to access and use the System.
- The Vendor shall provide software to ensure the security of the System and use best endeavors to protect the System from viruses when being accessed and used by its Vendor Users.
- The Vendor shall use the System for lawful and proper purposes only and shall, in any event, comply with all relevant laws, regulations and Codes of Practice within the Islamic Republic of Pakistan and other jurisdiction from which Vendor Users access the System.

In particular, the Vendor agrees that it will not:
- Manipulate any information supplied on the System in a manner that would lead to inaccurate, misleading or discriminating presentation of information being displayed;
- Post, transmit or disseminate any information on or via the System which is or may be harmful, obscene, defamatory or otherwise illegal;
- Use the System in a manner which causes or may cause an infringement of the rights of any other; and
- Use any software, routine or device to interfere or attempt to interfere electronically or manually with the operation or functionality of the System, including uploading or making available files containing corrupt data or viruses.
- The Vendor agrees that its Vendor User shall act as authorized agent for and on behalf of the Vendor in submitting any response to any Procurement Exercise on the System.
- The Vendor shall be responsible for any unauthorized, false or fraudulent response to any invitation to participate in a procurement that is submitted using one of its Vendor User's User ID and password.

The Vendor represents and warrants to NHA that:
- All information it provides will be accurate and complete and shall accurately represent the Vendor's capabilities;
- It shall have the right, through actual ownership or otherwise, to provide any product or service that is the subject of any response made by it to any invitation to participate in procurement;
- It has the ability to sell the product/service/works at the prices offered in any response made by it to any invitation to participate in a procurement and according to the relevant criteria specified by the NHA in the relevant invitation to participate in a procurement.

General Provisions for the Submission of Responses
- Vendors are expected to examine the entire file attachments published in the System, which indicate what information must be provided. Vendors must provide all of the items of information requested in the Procurement Exercise. Incomplete submission of the information requested including the submission of information in file attachments containing viruses that have been advised by the System shall entitle the NHA to invalidate or reject the response to the Procurement Exercise.
- All responses to any invitation to participate in a Procurement Exercise must be submitted through the System by the closing date and time as specified on the System.
- Responses may be submitted through the System at any time up to the closing date and time as specified on the System.
- Vendors shall be entitled to submit one or more responses prior to the closing date and time. It is understood that the last response submitted prior to the closing date and time shall be the response that is considered by the NHA in the evaluation and award process.
- The Vendor agrees to keep any responses valid for a period of one hundred and twenty (120) days from the closing date and time for the submission of responses, unless any other period is specified in the terms and conditions of the Procurement Exercise.
- In the case of discrepancies, the last response (in accordance with the provisions of paragraph 7.4) submitted through the System shall prevail over the contents of a file, attachments and other documents made available by the Vendor during the Procurement Exercise.
- The NHA will open responses in accordance with the opening procedures specified on the System for each Procurement Exercise.
- The Vendors are responsible to plan their time sufficient to complete the documents upload, third party transactions like Bid security preparation and submission through banks, verify completeness of bid, and final submission of Bidding Documents for the specific bids. Before final submission, the Vendors may upload documents, fill-in required online forms, modify and verify the documents, and complete other activities part by part. But attempt to submit incomplete bid will not be allowed by the System.
- If the electronic records entered online and files containing the Tender/ Application/ Proposal are corrupt, contain a virus, or are unreadable for any reason, the tender will not be considered. It is strictly the responsibility of the Vendor to ensure the integrity, completeness and authenticity of the Tender/Proposal, and also should comply with the applicable laws of Pakistan.

Specific Provisions for Auctions
- In the event the NHA conducts an Auction, the Vendor (Buyer) acknowledges and accept that the responses received in earlier stages of the Procurement Exercise may represent, upon NHA decision and following a notification to Vendor (Buyer), the Initial Bid by each Vendor (Buyer) in the Auction.
- NHA shall be entitled to set an opening price and a reserve price for an Auction.
- The configuration settings for the Auction as defined by NHA shall determine the closing time for each Auction. The selected configuration settings for an Auction will be displayed on the System for Vendor (Buyer) to view prior to the Auction.
- All bids entered during an Auction are irrevocable except to the limited extent provided for in this clause. Bids may be revoked by the Vendor (Buyer) only if the Vendor (Buyer) notifies NHA immediately after the bid has been entered and then only if the bid revocation is accepted by NHA. If NHA does not agree to Bid revocation in such case, the bid will become binding in accordance with these Participation Rules.
- NHA is not obliged to accept the lowest bid or any bid made during an Auction. If NHA decides to accept a Bid, in accordance with the published Evaluation Criteria, NHA shall notify the Vendor (Buyer) that its Bid has being accepted. Such notice shall be in writing and shall constitute the unqualified acceptance by NHA of the Vendor (Buyer)'s offer on Terms and Conditions as specified in the Procurement Exercise.

Amendments to Procurement Exercise

The Vendor acknowledges that:

The NHA reserves the right to, at any time prior to the closing date and time for receipt of response by publication of a notification through the System and without incurring any liability whatsoever:
- Suspend and re-open or cancel a Procurement Exercise or extend the closing date and time of any Procurement Exercise; and/or
- Vary or amend the details of a Procurement Exercise; and
- In the event of a suspension and subsequent re-opening of a Procurement Exercise, the Procurement Exercise will resume on the basis of the last response recorded by the Vendor through the System.
- NHA reserves the right to modify, add, delete and/or change the functions, User Interface, contents, and other items at any time.

Notification of Award
- NHA will provide Written Notification of Contract Award in accordance with Clause-17 to the Vendor subsequent to the closing date and time and following evaluation of the Vendor's response to the Procurement Exercise. No other notification of contract award or otherwise sent by the System shall in any way represent any obligation towards the Vendor on the part of the NHA.

Intellectual Property Rights
- All Intellectual Property Rights in the System are owned by NHA.
- The Vendor and its Vendor Users shall have no Intellectual Property Rights in the System, nor shall it have any rights to copy, adapt, modify or interfere with the System.
- The System may include the NHA's logo and/or trade mark. The Vendor acknowledges that it may not copy, use, or mask the NHA's logo and/or trademarks which appear on the System without the prior consent of the NHA.

Data Protection
- The Vendor shall comply with the applicable Pakistan laws in its use and access of the System. Vendor agrees not to hold NHA, liable for any publicity; any publication of news, or comments pertaining to the Vendors.
- NHA will collect, hold and use personal information obtained from and about the Vendor Users pursuant to paragraph 3.1. The Vendor agrees to such information being collected, held and used in accordance with this User Agreement and its obligations under the applicable Pakistan laws.

Limitation of Liability

In no event shall the NHA be liable to the Vendor for any direct loss, indirect loss or damages incurred by the Vendor or any Vendor User arising from the use of the System caused by:
- An event of Force Majeure that affects the availability and/or performance of the System;
- Incorrect use by Vendor Users of the System;
- Connectivity failures in respect of the equipment used by the Vendor Users;
- Breakdown of the System for a period of time not exceeding 30 Working Days.

The Vendor acknowledges and accepts that:
- The NHA reserves the right to interrupt and/or suspend the availability of the System and/or revoke access at any time by notice to the Vendor without incurring any liability;
- The NHA provides the System on an 'as is' basis and 'as available' basis without any warranty of any kind;
- The NHA does not accept any liability for any information or links on the System that may refer Vendor Users to external sources outside of the NHA's reasonable control.
- The Vendor will indemnify the NHA and NHA in full against all claims, demands, actions or proceedings (including legal and other professional adviser's fees) made by any third party arising out of or in relation to the Vendor's breach of its obligations under this User Agreement.

Confidentiality

Each party shall:-
- treat all sensitive Information as Confidential and safeguard it accordingly;
- not disclose any Confidential Information to any third party without the prior written consent of the other party, except to such persons and to such extent as may be necessary for the performance of this User Agreement: and
- not use any Confidential Information otherwise than for the purposes of this User Agreement.

The Vendor shall take all necessary precautions to ensure that all Confidential Information obtained from the NHA under or in connection with this User Agreement;
- is given only to such employee, consultant, sub-contractor, professional advisor or agent engaged to advise it in connection with this User Agreement as is strictly necessary for the performance of this User Agreement and then only to the extent necessary for each employee, consultant, sub-contractor, professional advisor or agent activities in the performance of this User Agreement;
- is treated as confidential and not disclosed (without prior written approval) or used by any employee, consultant, sub-contractor, professional advisor or agent otherwise than for the purposes of this User Agreement;
- Where it is considered necessary in the opinion of the NHA, the Vendor shall ensure that any employee, consultant, sub-contractor, professional advisor or agent of the Vendor sign a confidentiality undertaking before commencing work in connection with this User Agreement,on a prescribed format.

The provisions of this Clause-13 shall not apply to any information:-
- which is or becomes public knowledge (otherwise than by breach of the obligations of confidentiality under this User Agreement);
- which is in the possession of the party concerned, without restriction as to its disclosure, before receiving it from the disclosing party;
- which is received from a third party who lawfully acquired it and who is under no obligation restricting its disclosure; or
- is independently developed without access to the Confidential Information.

Nothing in this User Agreement shall prevent the NHA from:-
- disclosing any Confidential Information which is required to be disclosed by an order of court or other tribunal or required to be disclosed in accordance with any law, statute, proclamation, by-law, directive, decision, regulation, rule, order, notice, rule of court, delegated or subordinate legislation parliamentary obligation; or
- disclosing any information for the purpose of the examination and certification of the NHA's accounts; or
- disclosing any information obtained from the Vendor to any person engaged in providing any services to the NHA for any purpose relating to or ancillary to this User Agreement, provided that in disclosing information under this sub-paragraph 13.7.3 the NHA discloses only the information which is necessary for the purpose concerned and requires that the information is treated in confidence and that a confidentiality undertaking is given where appropriate.
- Nothing in this User Agreement shall prevent either party from using any techniques, ideas or know-how gained during the performance of this User Agreement in the course of its normal business, to the extent that this does not result in a disclosure of Confidential Information or an infringement of Intellectual Property Rights.
- In the event that the Vendor fails to comply with this Clause-13, the NHA reserves the right to terminate this User Agreement by notice in writing with immediate effect.
- The Vendor acknowledges that the NHA is also subject to the Pakistan laws and shall assist and cooperate with the NHA in meeting its obligations there under. The Vendor shall use all reasonable endeavors to ensure the observance of the provisions of this Clause-13 by its sub-contractors.
- The obligations of this Clause-13 shall survive even after the expiry of this User Agreement for a period of 5 years.

Rights of Third Parties
- This User Agreement shall not create any rights that shall be enforceable by anyone other than the NHA and the Vendor, except that the rights specified in Clause-11.2 may be enforced by NHA.

Amendments to User Agreement
- Subject to Clauses-15.2 and 15.3, the Vendor acknowledges that the NHA reserves the right to vary or amend this User Agreement by publication of a notification by message on the System or through an e-mail or letter to the Vendor, using the e-mail address or postal address referred to in Clauses-17.1.1 and 17.1.3 respectively.
- The amendments shall be deem to have been accepted by the Vendor unless the NHA receives, within 15 days of the date of the notice under Clause 15.1, a written communication from the Vendor expressing objections to the amendments.Resolution of objection raised will be addressed within 15xdays by NHA and conveyed thereof.In any case, the Vendor's continued use of the System shall represent its unconditional acceptance of the amendments in its entirety.

General
- The waiver by either party of any breach of this User Agreement shall not prevent the subsequent enforcement of that provision and shall not be deem to be a waiver of any subsequent breach of that or any other provision.
- If at any time any part of this User Agreement is held to be or becomes void or otherwise unenforceable for any reason under any applicable law, the same shall be deem omitted from this User Agreement and the validity and/or enforceability of the remaining provisions of this User Agreement shall not in any way be affected or impaired as a result of that omission.

Nothing contained either inside or outside this User Agreement shall be taken as constituting:
- a contract, including any collateral contract, or any contractual term between the NHA and Vendor or any other party (including any potential service provider) as to the procurement of any goods, services or works; or
- Any representation by or on behalf of the NHA.

The NHA shall not be committed to any course of action as a result of:
- Issuing any invitation to participate in a Procurement Exercise;
- An invitation to submit any proposal in respect of a Procurement Exercise;
- Communicating with a Vendor in respect of this Procurement Exercise; or
- Any other communication between the NHA and any other party.

The Vendor accepts and acknowledges that:
- Whilst every care has been taken to ensure that the data and information contained within an invitation to participate in a Procurement Exercise is valid, the NHA shall not accept liability for the accuracy, adequacy or completeness of such information and data; and
- That by issuing an invitation to participate in a Procurement Exercise the NHA shall not be bound to accept any response and it reserves the right to award a contract for some but not all of the requirements specified or not to award any contract at all;
- The NHA shall not accept any liability for any costs or expenses incurred by a Vendor responding to any invitation to participate in a Procurement Exercise.
- The NHA and the Vendor acknowledge that, for the entire duration of the Procurement Exercise, any dates and times shall be those displayed on the System and any other Helpdesk recording and telecommunications equipment, and such recordings shall represent a full account of the actual facts and circumstances.
- The Vendor acknowledges that the system will not allow it to view the identity of the other Vendors during a Procurement Exercise.
- The waiver by either party of any breach of these Participation Rules shall not prevent the subsequent enforcement of that provision and shall not be deem to be a waiver of any subsequent breach of that or any other provision.
- The terms and expressions set out in this User agreement shall have the meanings ascribed therein.
- NHA does not take any responsibility of its availability and authenticity of the external third party web references, links referred in the System.
- The NHA reserves the right to outsource operation, maintenance and management services of the System and other related services to any third party. The Users of System are under obligation to adhere to such any agreement with any outsourced firm/company.

Notices
-
All communications given under this User Agreement shall be in writing and shall be:
- Served to the Vendor, via e-mail,to address the Vendor has given upon account creation (or to the latest e-mail address that might have been updated following the initial Vendor Account Creation) or through the messaging facility available on the System; or
- Served to the NHA, via e-mail to support.ebidding@nha.gov.pk or through the messaging facility available on the System; and
-
Deem to be received by the addressee on the same day as the addressor sending such e-mail, subject to the:
- Addressor using the addressee's registered e-mail address; and
- Addressee, on receipt of such an e-mail, e-mailing an acknowledgement of receipt to the addressor as soon as is practicable and in any event not later than 1630 hrs (Pakistan Standard Time) of the following Working Day after the addressee received such e-mail. If the addressor fails to receive such acknowledgement by 1630 hrs (Pakistan Standard Time) of the next Working Day after the addressee received the e-mail, the addressor may also serve the communication by courier to the Vendor, to the postal address/delivery address the Vendor has given during Account Creation.
- Either party to this User Agreement may change its postal address for notification purposes by giving the other reasonable prior written notice of the new information and its effective date pursuant to Clause-17.

Law and Jurisdiction
- Any dispute or claim arising out of or in connection with User Agreement shall be governed by, and construed in accordance with, the laws of Islamic Republic of Pakistan and shall be subject to the Alternate Dispute Resolution i.e. Mediation,Reconciliation or Arbitation as per laws of Pakistan.Terms of Alternate Dispute Resolution can be settled inter-se parties within 15xdays of dispute or claim.
- NHA reserves the right to initiate any legal action against those Users violating any of the above mentioned Terms & Conditions of System User agreement.

Interpretations
- The headings to clauses are inserted for convenience only and shall not affect the interpretation or construction of this User Agreement.
- Words imparting the singular shall include the plural and vice versa. Words imparting a gender include every gender and references to persons include an individual, company, corporation, firm or partnership/joint venture.
- The words and phrases "other", "including" and "in particular" shall not limit the generality of any preceding words or be construed as being limited to the same class as any preceding words where a wider construction is possible.
- References to any statute or statutory provision shall include (i) any subordinate legislation made under it, (ii) any provision which it has modified or re-enacted (whether with or without modification), and (iii) any provision which subsequently supersedes it or re-enacts it (whether with or without modification).
